Netly Terms of Use

1. Acceptance of Terms

By accessing or using Netly ("Netly," "we," "us," or "our"), including our mobile application, website, and any related services (collectively, the "Platform"), you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Use ("Terms"). If you do not agree, you must not access or use the Platform.

2. Eligibility

You must be at least 18 years old to use Netly. By using the Platform, you represent and warrant that you meet this requirement and have the legal authority to enter into these Terms.

3. No Agency or Endorsement

Netly is a technology platform only. Netly does not:

• Organize, host, manage, supervise, operate, or control events
• Employ, endorse, screen, or guarantee users or Hosts
• Act as an agent, broker, partner, or representative of any user or event

All interactions, events, and transactions occur solely between users.

4. Account Responsibility

You are solely responsible for all activity conducted through your account. You agree to:

• Provide accurate and truthful information
• Maintain the security of your login credentials
• Immediately notify Netly of unauthorized access

Netly is not liable for losses arising from unauthorized account use.

5. User Conduct

You agree not to:

• Violate any laws, regulations, or third-party rights
• Harass, threaten, deceive, defraud, or harm others
• Misrepresent your identity, credentials, or intent
• Use Netly for dating, escorting, solicitation, or illegal activity
• Use Netly to promote unapproved commercial activity outside permitted features

Netly may remove content or suspend accounts without notice.

6. Events & Event Hosting

6.1 Independent Hosts

Users who create events ("Hosts") act independently and not on behalf of Netly. Hosts assume full legal responsibility for their events, including:

• Compliance with all applicable laws, regulations, venue rules, and campus policies
• Obtaining permits, permissions, insurance, and licenses
• Event safety, security, supervision, and execution

Netly disclaims all responsibility for events.

6.2 Event Listings

Netly does not verify, approve, or guarantee event accuracy, Host qualifications, attendance, safety, or outcomes. Event listings are provided "as-is" for informational purposes only.

6.3 Event Attendance

By attending an event, you acknowledge and agree that:

• You attend entirely at your own risk
• Netly is not liable for injuries, damages, losses, disputes, or criminal acts
• You are responsible for your own conduct and decisions

6.4 Paid Events & Payments

Payments may be processed through third-party providers (e.g., Stripe, Apple). Netly does not hold funds, guarantee payments, issue refunds, or resolve disputes unless required by law. Hosts are solely responsible for refunds, cancellations, pricing, taxes, fees, and chargebacks.

7. Media, Recording & Public Exposure

Events and interactions may involve photography, video, or audio recording. By using Netly and attending events, you consent to incidental recording where legally permitted and release Netly from any claims related to use of such media. Hosts are responsible for obtaining required permissions.

8. Verification Disclaimer

Any verification or badge provided by Netly does not guarantee identity, safety, legality, or professionalism. Verification is provided "as-is" with no warranties.

9. Assumption of Risk

YOU EXPRESSLY ACKNOWLEDGE AND ASSUME ALL RISKS arising from in-person meetings, professional interactions, event attendance, and use of public or private venues. These risks include, but are not limited to, physical injury, emotional distress, financial loss, theft, harassment, and unforeseen incidents.

10. Release of Claims

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU HEREBY RELEASE, WAIVE, AND DISCHARGE NETLY from any and all claims, demands, damages, losses, liabilities, costs, or causes of action arising out of or related to your use of the Platform, events you host or attend, or interactions with other users.

11. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NETLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NETLY’S TOTAL LIABILITY SHALL NOT EXCEED $100 USD OR THE AMOUNT YOU PAID NETLY IN THE LAST 12 MONTHS, WHICHEVER IS GREATER.

13. Indemnification

You agree to defend, indemnify, and hold harmless Netly, its officers, directors, employees, and affiliates from any claims, damages, losses, liabilities, costs, or expenses arising from your use of Netly, events you host or attend, or your violation of these Terms or applicable law.

14. Termination

Netly may suspend or terminate your account at any time, for any reason, without liability.

15. Governing Law & Venue

These Terms are governed by the laws of the State of California. Any disputes shall be resolved exclusively in the state or federal courts located in California.

16. Severability

If any provision of these Terms is held unenforceable, the remaining provisions shall remain in full force and effect.

BY USING NETLY, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO THESE TERMS OF USE.

18. Apple App Store Specific Terms

If you access Netly through an application downloaded from the Apple App Store, you acknowledge and agree to the following additional terms, which are intended to comply with Apple’s App Store Review Guidelines and do not replace or reduce the protections above:

• These Terms are an agreement solely between you and Netly, and not with Apple Inc.
• Apple is not responsible for the Netly app or its content.
• Apple has no obligation to provide maintenance or support services for Netly.
• In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price of the app (if any); Apple has no other warranty obligation whatsoever.
• Apple is not responsible for addressing any claims by you or any third party relating to Netly or your possession or use of the app, including but not limited to product liability claims, claims that the app fails to conform to legal or regulatory requirements, or claims arising under consumer protection, privacy, or similar laws.
• Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms and have the right to enforce these Terms against you.

19. Third-Party Services

Netly may integrate or link to third-party services, including but not limited to payment processors, verification providers, analytics tools, and hosting services. Netly does not control and is not responsible for third-party services, their availability, accuracy, security, or actions. Your use of third-party services is at your own risk and subject to their separate terms and policies.

20. No Professional Advice

Netly does not provide legal, financial, investment, employment, or professional advice. Any information provided through the Platform, including through events or user interactions, is for general informational purposes only and should not be relied upon as professional advice.

21. Force Majeure

Netly shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to natural disasters, government actions, labor disputes, internet outages, or system failures.

22. Entire Agreement

These Terms constitute the entire agreement between you and Netly regarding the Platform and supersede all prior or contemporaneous agreements, communications, or understandings.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms on this page and update the Effective Date above. Your continued use of the Platform after changes means you accept the updated Terms.
